Tsogo Sun appoints Rachel Watson as Lead Independent Director

Tsogo Sun has appointed independent non-executive director Rachel Watson as Lead Independent Director following Busi Mabuza’s retirement from the South African casino operator’s board.

Mabuza retired by rotation at the close of Tsogo Sun’s AGM on 1 September, ending a tenure that began in June 2014. She had served as Lead Independent Director and held positions across the operator’s board committees.

Watson joined the Tsogo Sun board in June 2019 and has served on several of its committees. Her external positions include independent non-executive directorships with Hosken Consolidated Investments, eMedia Holdings and Frontier Transport Holdings.

Tsogo Sun has also appointed independent non-executive director Elias Mphande to its Audit and Risk Committee. Marcel Golding, also an independent non-executive director, has joined the Social and Ethics Committee and Human Resources and Remuneration Committee.

The appointments redistribute responsibilities previously held by Mabuza. Tsogo Sun’s governance structure gives the Lead Independent Director a role alongside non-executive Chairperson Johnny Copelyn, while the positions of Chairperson and CEO remain separate. 

Previous company reporting said the lead independent position was intended to strengthen board independence.

The board changes follow other senior appointments made during the previous financial year. Egbert Loubser became Financial Director in September 2025, while Santha van Vuuren joined the board as Director of Operations, including responsibility for human resources.

Tsogo Sun remains majority-owned indirectly by JSE-listed investment group Hosken Consolidated Investments. Its operations extend beyond its South African casino estate to the playTSOGO and Bet.co.za betting brands, Galaxy Bingo venues and VSlots limited payout machines.

The governance changes also come as the South African gambling market continues to shift towards betting. National Gambling Board figures show betting generated approximately 70% of national gross gambling revenue in FY2024/25, compared with 22% for casinos. Total industry GGR reached R74.9bn ($4.27bn) for the period.

In July, Tsogo Sun agreed to sell Goldfields Casino in Welkom after classifying the operation as held for sale, as smaller land-based casino assets face pressure from the expanding betting sector.
