Evolution and Galaxy Gaming’s prospective merger has missed it’s already extended closing date
Either party may now terminate the transaction, with no updates on formal moves having been outlined
Evolution CEO Martin Carlesund stated the deal had “no material impact on our existing business” last week

Supplier Galaxy Gaming has confirmed that it is currently evaluating its options, alongside Evolution, following the passing of the pair’s previously extended merger deadline.

Indeed, 17 July 2026 was previously outlined as the final deadline for the pair to obtain the necessary regulatory and related approvals for the deal to advance. With this date now passed, Galaxy Gaming has formally outlined that it is set to re-evaluate its options – noting that the deal has not been terminated by either party, with further extensions still possible.

Originally announced in mid-2024, this deal is yet to be closed two years later. This latest deadline was originally set in November 2025 as part of a prior extension.

Contextually, last week saw the release of Evolution’s Q2 2026 financial results. As part of the release, company CEO Martin Carlesund provided an in-depth statement in which he outlined: “Two years have passed, and Evolution has spent significant time, effort and resources handling the rather large amount of administration required to close this acquisition. Galaxy is a great company; however, due to its size, the transaction is not significant for Evolution.

“The outcome has no material impact on our existing business, our US operations, or our long-term ambitions.”

Speaking today as part of this latest release was Galaxy Gaming President and CEO Matt Reback, who stated: “For two years, we have been working with Evolution towards a closing of the Merger Agreement.

“During this same time, we have also been focused on growing Galaxy by increasing the range of our table games products, expanding into new markets, deepening partnerships with new and existing customers, increasing the share of our recurring revenues, and assembling a team of the highest caliber individuals possible. We are excited about the trajectory of the company, and we look forward to a continued relationship with Evolution.”

This latest update falls in the wake of Galaxy’s appointment of a new CTO, Anand Singh, last week, who stepped in to oversee the supplier’s technology department after two decades with Light & Wonder.

Good to know

Upon its release in 2024 Evolution valued Galaxy Gaming at $85m – or $124m including net debt – as part of this deal
