PhilWeb-backed JKS has secured an exclusive Philippine partnership with digital gaming provider MegaWin
PhilWeb expects to acquire a 30% stake in JKS as part of its broader technology expansion strategy
MegaWin's portfolio includes mobile-first slots, fishing games and platform tools delivered through a single API

JKS Tech Solutions has secured an exclusive partnership with MegaWin to provide gaming services to licensed operators in the Philippines. The Philippine gaming technology company is also the subject of a planned strategic investment by PhilWeb, which expects to acquire a 30% stake in JKS for PHP4.23bn.

The agreement gives JKS access to MegaWin's portfolio of digital gaming content and software, including mobile-first slot titles, fishing games and supporting platform tools.

MegaWin operates as an international business-to-business provider, with its technology designed for single-API integration into operators' existing systems. Its platform also supports multiple currencies and languages, alongside built-in tournament and incentive features.

The partnership is expected to broaden the range of content available through JKS to licensed Philippine operators, including integrated resorts and domestic gaming platforms.

For PhilWeb, the agreement follows its planned strategic investment in JKS as it expands its technology-enabled gaming services business.

PhilWeb has agreed to acquire a 30% interest in JKS for PHP4.23bn. Separately, JKS agreed to acquire approximately 81.38 million PhilWeb treasury shares for PHP1.34bn at PHP16.50 per share.

The treasury share transaction is structured across two closings and remains subject to regulatory requirements, including approvals relating to JKS' proposed capital increase and the associated block sale.

Proceeds from PhilWeb's treasury share sale are expected to partially fund its investment in JKS, with remaining funds available for capital requirements, strategic investments and general corporate purposes.

The Philippine Stock Exchange previously classified PhilWeb's investment in JKS as falling under rules covering substantial acquisitions and reverse takeovers. Trading in PhilWeb shares was subsequently suspended pending additional disclosures required by the exchange.

The MegaWin agreement adds another international gaming content provider to JKS' network as PhilWeb continues building its position in the Philippine digital gaming market.
